Escrow & Payment Terms
These Escrow & Payment Terms (“Payment Terms”) explain how payments may be funded, secured, processed, and released in connection with merchandise purchased by Wave One Holdings LLC, an Arizona limited liability company (“Wave One,” “we,” “us,” or “our”).
These Payment Terms supplement our Seller Acquisition Terms, Shipping & Inspection Policy, and any transaction-specific terms accepted by the seller (“Seller”).
When an independent third-party escrow provider is used, the transaction is also subject to that provider’s applicable terms, conditions, procedures, and policies.
1. How Our Secure Transaction Process Works
For transactions using escrow, the general process is:
- 01 Offer
Wave One makes Seller an offer for specified merchandise.
- 02 Accept
Seller accepts the offer and applicable transaction terms.
- 03 Secure Funds
Wave One funds the agreed purchase price through the designated independent escrow provider.
- 04 Ship
After the transaction is funded and Seller is authorized to proceed, Seller ships the merchandise according to the applicable shipping instructions.
- 05 Inspect
Wave One receives and inspects the merchandise during the agreed inspection period.
- 06 Accept
If the merchandise materially conforms to the transaction terms, Wave One accepts it.
- 07 Get Paid
The escrow provider releases payment to Seller according to its procedures.
Important
Seller does not need to ship qualifying merchandise before Wave One has funded the applicable escrow transaction and Seller has been authorized to ship.
Likewise, Seller does not receive the purchase funds before Wave One has had the applicable opportunity to receive and inspect the merchandise.
This structure is intended to provide protection to both parties.
2. Wave One Is Not an Escrow Provider
Wave One Holdings LLC is not a bank, escrow company, money transmitter, payment processor, or financial institution and does not itself provide escrow services.
When escrow is used, escrow services are provided by an independent third-party escrow provider.
Wave One does not represent that funds held by an independent escrow provider are held by Wave One.
The escrow provider is responsible for holding and releasing escrowed funds according to the applicable transaction terms and the provider’s own policies and procedures.
3. Escrow Provider
Wave One may designate an approved independent escrow provider for a transaction.
The specific provider will be identified before Seller is required to proceed with the escrow transaction.
Seller may be required to:
- Create or verify an account;
- Verify Seller’s identity;
- Accept the provider’s terms;
- Provide payment or disbursement information;
- Complete tax or compliance information;
- Complete fraud-prevention or identity-verification procedures; and
- Satisfy other requirements imposed by the provider.
These requirements are established by the third-party provider and may be outside Wave One’s control.
4. Wave One Funds the Purchase
For an escrow transaction, Wave One will fund the agreed purchase amount with the designated escrow provider according to the applicable transaction terms.
Agreed Purchase Price: $8,000
Wave One funds the applicable escrow transaction for the $8,000 purchase price.
Seller retains possession of the merchandise until the transaction is funded and Seller receives authorization to ship.
5. Funds Secured Before Shipment
One of the primary purposes of using escrow is to allow Seller to confirm that the purchase transaction has been funded before surrendering valuable merchandise.
Seller should not rely solely on an email, screenshot, text message, or statement purportedly from Wave One as proof that escrow has been funded.
Seller should confirm the status of the transaction through the official website, account, or communication channel of the designated escrow provider where available.
Seller should never ship solely because someone sends a screenshot showing payment.
Seller should ship only after the legitimate transaction has been established and Seller has received appropriate confirmation that shipment should proceed.
This requirement helps protect both Seller and Wave One from impersonation, phishing, and payment fraud.
6. Escrow Service Fees
When Wave One expressly states that escrow fees are covered by Wave One:
Wave One pays the standard escrow service fee.
The agreed purchase price will not be reduced solely to charge Seller Wave One’s agreed portion of the standard escrow service fee.
Wave One Offer: $8,000
Seller’s Agreed Purchase Price: $8,000
Standard Escrow Service Fee: Paid by Wave One
This does not necessarily mean Wave One pays every expense associated with a transaction.
Unless otherwise agreed in writing, Seller may remain responsible for costs imposed specifically on Seller by a financial institution, payment method, currency conversion, international transfer, tax authority, or other third party.
Return shipping, insurance, extraordinary processing costs, or expenses resulting from a rejected or disputed transaction may be governed by the transaction-specific terms and escrow provider’s rules.
7. Shipping Authorization
Funding escrow does not itself mean that Seller should immediately ship.
Seller must wait until the applicable transaction status indicates that shipment is authorized.
Wave One or the escrow provider will provide or confirm applicable shipping instructions.
Seller must follow the Shipping & Inspection Policy and transaction-specific shipping requirements.
8. Payment Is Not Released Before Inspection
Funding an escrow transaction is different from paying Seller.
When Wave One funds escrow:
The purchase funds are secured with the independent escrow provider.
Seller has not yet received the purchase funds, and Wave One generally cannot treat the merchandise as finally accepted merely because it has been delivered.
Wave One must first have the opportunity to inspect the merchandise according to the agreed transaction terms.
9. Inspection Period
Wave One generally expects many collectible transactions to use an inspection period of approximately three (3) calendar days, unless otherwise specified.
The actual inspection period will be the period established for the particular transaction.
During the inspection period, Wave One may verify matters including:
- Authenticity;
- Identity;
- Condition;
- Edition;
- Printing;
- Language;
- Variant;
- Promotional designation;
- Completeness;
- Seals or packaging;
- Alterations;
- Restoration;
- Damage;
- Tampering;
- Consistency with submitted photographs; and
- Compliance with the agreed transaction description.

10. Acceptance and Release of Payment
If Wave One determines that the merchandise materially conforms to the agreed transaction terms, Wave One will accept the merchandise according to the applicable escrow procedures.
Following acceptance, the escrow provider releases the purchase funds to Seller according to the provider’s procedures.
Wave One does not control how quickly Seller’s bank or financial institution makes released funds available.
Accordingly:
Acceptance → Escrow Release → Seller’s Financial Institution → Seller
may involve processing time.
11. Automatic Release or Expiration of Inspection Period
Certain escrow transactions may provide that funds are released if Buyer does not reject the merchandise before expiration of the agreed inspection period.
Seller and Wave One are responsible for reviewing and complying with the terms of the particular escrow transaction.
The applicable escrow provider’s rules control the timing and mechanics of any automatic acceptance or release.
12. Merchandise That Does Not Pass Inspection
If merchandise materially fails to conform to the transaction terms, Wave One may exercise available rights during the inspection period.
Examples may include:
- Counterfeit merchandise;
- Wrong merchandise;
- Wrong edition or variant;
- Material undisclosed damage;
- Material condition discrepancy;
- Altered merchandise;
- Restored merchandise not previously disclosed;
- Resealed products;
- Missing components; or
- Material discrepancies from Seller’s photographs or description.
Depending on the circumstances and applicable terms, Wave One may:
- Reject the merchandise;
- Request cancellation of the transaction;
- Offer a revised purchase price; or
- Take another action permitted under the applicable escrow agreement.
13. Revised Offers
In some circumstances, Wave One may determine during inspection that merchandise is authentic and desirable but materially different from what was represented.
Wave One may, where permitted, offer Seller a revised purchase price.
Original Purchase Price: $8,000
Inspection identifies previously undisclosed material condition issues.
Revised Offer: $6,800
Seller is not required to accept a revised offer unless otherwise provided by the transaction terms.
If Seller declines, the transaction will proceed according to the applicable rejection, return, and escrow procedures.
Wave One will not unilaterally reduce an agreed purchase price after receiving merchandise and retain the merchandise without Seller’s agreement or other lawful authority.
14. Rejected Merchandise
If Wave One properly rejects merchandise during the applicable inspection period, the merchandise will be handled according to the transaction and escrow provider’s return procedures.
Wave One may be required to return the merchandise before escrowed purchase funds are returned or otherwise released.
Return shipments may require:
- Tracking;
- Insurance;
- Signature confirmation; and
- Compliance with escrow-provider procedures.
Responsibility for return shipping and related costs will be determined by the applicable transaction terms and escrow-provider rules.
15. Refunds Following Rejection
A rejection does not necessarily result in an instantaneous refund to Wave One.
The escrow provider may require proof that merchandise has been returned and may provide Seller with an opportunity to inspect the returned merchandise before funds are refunded.
All refunds of escrowed funds are subject to the applicable escrow provider’s procedures.
16. Disputes
If Wave One and Seller disagree regarding authenticity, condition, shipment, delivery, return, or another material aspect of a transaction, the purchase funds may remain held by the escrow provider while the dispute is addressed according to applicable procedures.
Neither party should assume that the escrow provider automatically decides every dispute in that party’s favor.
The parties may be required to provide evidence such as:
- Submission photographs;
- Shipping records;
- Tracking;
- Packaging documentation;
- Authentication evidence;
- Communications;
- Transaction records;
- Inspection photographs or video; and
- Other relevant information.
This is one reason both Wave One and Seller are encouraged to thoroughly document high-value transactions.
17. No “Money-Back Guarantee”
Wave One does not describe escrow transactions as providing an unconditional money-back guarantee to either party.
Escrow is designed to protect both parties by holding purchase funds with an independent third party while the transaction is completed according to agreed terms.
Any refund, payment release, return, or dispute is subject to the specific transaction terms and the applicable escrow provider’s rules.
18. Seller Protection
The escrow process is designed to provide Seller with meaningful transaction protection.
For an applicable escrow transaction:
Wave One funds the agreed purchase amount before Seller is instructed to ship.
Seller can verify that the transaction has been funded through the escrow provider.
If Wave One accepts conforming merchandise, payment is released according to the escrow terms.
This reduces the need for Seller to ship valuable merchandise based solely on a buyer’s promise to pay later.
19. Wave One Protection
Escrow also provides important protection to Wave One.
Seller does not receive the purchase funds simply because a package was shipped.
Wave One receives an agreed inspection period to verify that the merchandise materially conforms to the transaction.
If a material problem is identified, Wave One may exercise the rejection or dispute rights available under the transaction and escrow terms.
20. Payment Methods
The available funding and Seller disbursement methods may vary depending on:
- Transaction value;
- Escrow provider;
- Seller location;
- Buyer location;
- Banking institution;
- Currency;
- Compliance requirements; and
- Fraud-prevention requirements.
The applicable escrow provider will identify available methods for a particular transaction.
Wave One does not guarantee that every payment or disbursement method will be available.
21. Identity Verification
High-value transactions may require identity verification.
Wave One and/or the escrow provider may request information necessary to verify a participant’s identity, ownership, payment source, or authority to transact.
This may include information or documentation required for:
- Know-your-customer procedures;
- Anti-money-laundering compliance;
- Fraud prevention;
- Sanctions screening;
- Banking requirements; or
- Other legal or regulatory obligations.
Seller must provide accurate information to the applicable provider.
22. Fraud and Impersonation Warning
High-value collectible transactions can attract impersonation and payment scams.
Seller should be cautious of:
- Fake escrow websites;
- Lookalike domains;
- Fake payment confirmation emails;
- Altered screenshots;
- Requests to ship before funding;
- Unexpected changes to payment instructions;
- Requests to communicate exclusively outside established channels; and
- Anyone claiming that Seller must pay Wave One to receive an offer.
Never ship based solely on a screenshot or forwarded email claiming that funds are secured.
Verify important transaction information through official channels.
If something appears suspicious, contact Wave One before shipping.
23. Taxes
Seller is responsible for determining and satisfying Seller’s own federal, state, local, or other tax obligations arising from the sale of merchandise.
Wave One does not provide Seller with tax, legal, accounting, or financial advice.
Wave One or a third-party payment or escrow provider may collect or report information where required by applicable law.
24. Chargebacks and Reversals
Transactions conducted through an escrow provider are governed by the provider’s rules regarding funding, reversals, chargebacks, fraud, and payment disputes.
Wave One does not independently guarantee Seller against every possible banking or payment-system event.
The protections applicable to a particular transaction are those established by the escrow provider and applicable law.
25. Third-Party Provider Availability
Wave One does not control the availability or continued operation of independent escrow providers, banks, carriers, payment networks, or other third-party services.
If the intended provider is unavailable, Wave One and Seller may agree to another appropriate transaction method.
Seller is never required to proceed with a materially different payment arrangement without agreeing to it.
26. Direct Payments
Wave One may, by mutual agreement, purchase merchandise without escrow in certain circumstances, including transactions involving established sellers, dealers, in-person purchases, or other situations where both parties agree to another payment method.
If escrow is not used, the specific payment and delivery terms will be established before the transaction is completed.
References on the Wave One website to escrow do not mean that every transaction must use escrow.
27. No Seller Fees Charged by Wave One
Unless specifically disclosed and agreed before a transaction:
Wave One does not charge Seller a separate commission simply for selling merchandise to Wave One.
Wave One is purchasing the merchandise as principal for its own account rather than acting as Seller’s broker or agent.
The purchase price agreed between Wave One and Seller is the amount Wave One agrees to pay for the merchandise, subject to the applicable transaction terms.
Third-party costs may still apply as described elsewhere in these Payment Terms.
28. Ownership and Payment
Once merchandise has been accepted and the applicable purchase transaction completed, Seller relinquishes Seller’s ownership interest in the merchandise.
Wave One may thereafter hold, market, grade, consign, transfer, or resell the merchandise at any price it chooses.
Seller is entitled only to the purchase price agreed for the completed transaction and has no right to Wave One’s subsequent resale proceeds or profits.
29. Relationship to Other Wave One Terms
These Payment Terms should be read together with:
- Seller Acquisition Terms
- Shipping & Inspection Policy
- Privacy Policy
- Terms of Use
- and any transaction-specific offer or purchase terms.
Where an independent escrow provider is used, its applicable agreement also governs the escrow portion of the transaction.
30. Changes to These Terms
Wave One may update these Payment Terms from time to time.
The terms applicable to a transaction will generally be the terms accepted in connection with that transaction.
A subsequent website update will not by itself retroactively change the agreed payment terms of a completed transaction.
