Seller Acquisition Terms
These Seller Acquisition Terms (“Seller Terms”) govern the submission, evaluation, offer, sale, shipment, inspection, and payment process for items offered for sale to Wave One Holdings LLC, an Arizona limited liability company (“Wave One,” “we,” “us,” or “our”).
By submitting an item to Wave One, accepting an offer from Wave One, or otherwise proceeding with a transaction, you (“Seller”) acknowledge that you have read and agree to these Seller Terms.
1. Eligibility to Sell
You must be at least 18 years old and legally capable of entering into a binding agreement.
By submitting an item, you represent and warrant that you are the lawful owner of the item or are legally authorized by the owner to sell it.
You further represent that the item is not stolen, counterfeit, fraudulently obtained, subject to a lien or security interest, or otherwise subject to any third-party ownership claim.
Wave One may request reasonable information or documentation to verify identity, ownership, authenticity, provenance, or authority to sell before completing a transaction.
2. Items We Purchase
Wave One currently acquires select high-value trading cards, promotional products, sealed products, collectibles, and other merchandise that we determine, in our discretion, meets our acquisition criteria.
Our current minimum target value is generally $500 per item or qualifying product, unless Wave One agrees otherwise.
Submitting an item does not guarantee that Wave One will make an offer or purchase the item.
Wave One may accept or decline any submission in its discretion.
3. Seller Submissions
Sellers may be asked to provide information including:
- Name, email address, and telephone number;
- Item name and identifying information;
- Clear photographs of the front and back of the item;
- Photographs of packaging, seals, serial numbers, identifying marks, or other relevant features;
- Condition information;
- Information concerning damage, alterations, repairs, restoration, authenticity, provenance, or other characteristics that could materially affect value; and
- Additional information reasonably requested by Wave One.
All information and photographs submitted must be truthful, current, and accurately represent the exact item being offered for sale.
Seller must disclose any known defect, damage, alteration, restoration, authenticity concern, missing component, or other condition reasonably likely to affect the item’s identity or value.
4. Valuation
Wave One independently determines the market value of submitted items.
We may consider recent comparable sales, marketplace data, condition, scarcity, liquidity, demand, authenticity, edition or variant, transaction costs, and other information we consider relevant.
References on our website to purchasing items at 80% of market value mean 80% of the market value as determined by Wave One, not necessarily 80% of a value estimated by the Seller, another marketplace, price guide, asking price, appraisal, or third party.
Comparable sales and market data may change rapidly. A prior valuation does not guarantee a future valuation.
5. Offers
If Wave One wishes to purchase an item, we may provide Seller with a written offer.
The offer will specify the purchase price and may include additional transaction-specific conditions.
Offers may expire after the period stated in the offer.
Wave One may withdraw an offer before Seller’s acceptance if Wave One discovers an error, material new information, suspected fraud, significant market change, or other circumstances reasonably affecting the proposed transaction.
Once an offer has been accepted and a transaction has been established, the transaction will be governed by these Seller Terms, the specific transaction terms, and, where applicable, the terms of the third-party escrow provider.
6. Escrow Transactions
Wave One may use an independent third-party escrow provider for certain transactions.
Wave One is not an escrow company and does not itself provide escrow services.
When escrow is used, Wave One will generally fund the agreed purchase amount with the designated escrow provider before Seller is instructed to ship the item.
Seller should not ship an item until the escrow provider or Wave One confirms that the transaction is ready for shipment.
Escrow transactions are also subject to the escrow provider’s own terms, conditions, procedures, fees, inspection rules, dispute procedures, and other requirements.
Where stated in the applicable offer, Wave One will pay the standard escrow service fee associated with the transaction. Additional costs caused by Seller’s actions, special requests, failed performance, returns, or other circumstances may be allocated according to the transaction terms or escrow provider’s rules.
7. Shipping
Seller must follow the shipping instructions provided for the transaction.
Unless otherwise agreed in writing, shipments involving valuable merchandise should:
- Include valid tracking;
- Be securely packaged to prevent damage;
- Use the carrier and service level specified for the transaction, if any;
- Include appropriate insurance where required; and
- Require signature confirmation when instructed.
Seller should retain shipping receipts, tracking information, photographs of the item immediately before packaging, and reasonable evidence of packaging and shipment until the transaction has been completed.
Seller is responsible for ensuring that the item shipped is the same item represented in the submission and transaction documentation.
8. Receipt and Inspection
Receipt of a package does not constitute acceptance of the merchandise.
Wave One may inspect an item after delivery to verify matters including:
- Authenticity;
- Identity;
- Edition, printing, language, variation, serial number, or other identifying characteristics;
- Condition;
- Undisclosed damage;
- Alterations, restoration, trimming, recoloring, modification, resealing, tampering, or counterfeiting;
- Completeness;
- Consistency with submitted photographs and descriptions; and
- Compliance with the agreed transaction terms.
Where a third-party escrow provider is used, inspection must occur within the inspection period established for that transaction.
Wave One currently expects many transactions to use an inspection period of approximately three (3) calendar days, but the actual inspection period will be the period specified in the applicable transaction.
9. Acceptance
If Wave One determines that the item materially conforms to the transaction terms, Wave One may accept the item.
For escrow transactions, acceptance will authorize or permit the escrow provider to proceed with release of funds according to the applicable escrow terms.
Once a transaction has been completed and payment released, ownership of the accepted merchandise transfers to Wave One to the extent it has not already transferred under applicable law.
10. Items That Do Not Pass Inspection
If an item materially differs from the item represented or agreed upon, Wave One may exercise the remedies available under the applicable transaction and escrow terms.
Examples may include:
- Counterfeit or inauthentic merchandise;
- Wrong item;
- Wrong edition or variant;
- Undisclosed damage;
- Material condition discrepancies;
- Evidence of alteration or tampering;
- Missing components;
- Resealed product;
- Material inconsistencies with submitted photographs; or
- Materially inaccurate Seller representations.
Depending on the circumstances and applicable transaction terms, Wave One may reject the item, request cancellation of the transaction, return the item, or attempt to negotiate revised terms with Seller.
Wave One will not intentionally substitute, alter, damage, or retain rejected merchandise contrary to the applicable transaction terms.
For escrow transactions, returns, refunds, disputed merchandise, and release of funds are subject to the escrow provider’s procedures.
11. Seller Representations and Warranties
By completing a sale, Seller represents and warrants that:
- Seller has full legal title and authority to sell the merchandise.
- The merchandise is authentic unless expressly disclosed otherwise and accepted by Wave One in writing.
- The merchandise is not stolen or unlawfully obtained.
- No third party has a superior ownership interest, lien, security interest, or other claim against the merchandise.
- Seller has not knowingly concealed material damage, alteration, restoration, modification, or other material information.
- All material statements and photographs supplied to Wave One concerning the merchandise are accurate.
- Seller’s sale of the merchandise does not violate any applicable law or contractual obligation.
These representations survive completion of the transaction.
12. Counterfeit, Stolen, or Fraudulent Merchandise
Wave One maintains a zero-tolerance policy regarding knowingly counterfeit, stolen, or fraudulently obtained merchandise.
If Wave One reasonably suspects fraud or unlawful activity, we may suspend the transaction, preserve relevant records, notify the applicable payment or escrow provider, and cooperate with lawful requests from law enforcement or other appropriate authorities.
Nothing in these Seller Terms requires Wave One to complete a transaction involving merchandise we reasonably believe may be counterfeit, stolen, fraudulent, or unlawfully obtained.
13. Payment
Payment methods and timing will be specified in the applicable offer or transaction.
For escrow transactions, the escrow provider—not Wave One—holds and releases escrowed funds according to the agreed transaction and the provider’s terms.
Processing times imposed by banks, payment networks, escrow providers, or other financial institutions are outside Wave One’s control.
Seller is responsible for any taxes or reporting obligations applicable to proceeds Seller receives from the transaction.
14. No Guaranteed Purchase
Submitting merchandise to Wave One does not create an obligation for Wave One to purchase it.
An automated confirmation, valuation request, submission acknowledgment, preliminary estimate, or communication from Wave One does not constitute a binding purchase agreement unless expressly identified as an offer.
Wave One reserves the right to decline merchandise that does not satisfy our acquisition criteria.
15. Market Values and Price Changes
Collectible markets can be volatile.
Wave One does not guarantee that any item’s value will remain constant before or after a transaction.
Wave One may subsequently sell an acquired item for more or less than the amount used to determine its purchase price.
Seller acknowledges that after a completed sale, Seller has no right to any subsequent appreciation, resale proceeds, profits, or other economic benefit associated with the merchandise.
Likewise, Seller has no responsibility for subsequent decreases in market value after a properly completed transaction, except for obligations arising from fraud, breach of these Seller Terms, or other surviving representations and warranties.
16. No Appraisal or Investment Advice
Wave One’s valuation is made for purposes of determining whether and at what price Wave One is willing to purchase an item.
It is not an independent appraisal, certified valuation, investment recommendation, financial advice, or guarantee of fair market value.
Seller is free to decline an offer and retain or sell the item elsewhere.
17. Third-Party Services
Wave One may use third-party providers for escrow, payment processing, shipping, authentication, analytics, communications, or other services.
Those services may be governed by separate terms and privacy policies.
Wave One is not responsible for acts or omissions of independent third-party providers except to the extent required by applicable law.
18. Fraud Prevention and Transaction Verification
Wave One may take reasonable measures to protect the company, Sellers, and transaction partners from fraud.
For high-value or unusual transactions, Wave One may request additional identification, proof of ownership, photographs, video, provenance, purchase documentation, or other verification before proceeding.
Failure or refusal to provide reasonably requested verification may result in cancellation or refusal of a transaction.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Wave One will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to a submission or transaction.
To the maximum extent permitted by law, Wave One’s aggregate liability arising from a particular transaction will not exceed the purchase price agreed for that transaction, except where a different limit is required by applicable law.
Nothing in these Seller Terms excludes liability that cannot lawfully be excluded or limited.
20. Indemnification
To the extent permitted by applicable law, Seller agrees to indemnify and hold harmless Wave One Holdings LLC and its members, managers, employees, and agents from third-party claims, losses, liabilities, and reasonable expenses arising from Seller’s fraud, intentional misconduct, material breach of these Seller Terms, violation of law, or breach of Seller’s representations regarding ownership or authority to sell the merchandise.
21. Electronic Communications and Agreements
Seller agrees that offers, acceptances, disclosures, notices, transaction records, and agreements may be provided electronically.
Electronic acceptance, including clicking an “Accept Offer,” “I Agree,” or similar button or checkbox, may constitute Seller’s electronic signature and agreement to the applicable transaction terms to the extent permitted by law.
Seller is responsible for providing accurate and current contact information.
22. Governing Law
These Seller Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where applicable law requires otherwise.
23. Disputes
Before initiating formal legal proceedings against the other party relating to a Wave One transaction, Wave One and Seller agree to make a good-faith attempt to resolve the dispute through direct negotiation.
Disputes involving an escrow provider may also be governed by that provider’s separate dispute-resolution procedures.
Nothing in this section prevents either party from seeking emergency or injunctive relief where legally appropriate.
24. Privacy
Personal information submitted to Wave One is handled according to our Privacy Policy.
Seller acknowledges that information reasonably necessary to complete a transaction may be provided to service providers such as escrow companies, payment processors, shipping providers, fraud-prevention providers, or other parties involved in completing the transaction.
25. Changes to These Terms
Wave One may revise these Seller Terms from time to time.
The version applicable to a particular transaction will generally be the version accepted by Seller in connection with that transaction, unless the parties subsequently agree otherwise.
Changes will not retroactively alter a completed transaction merely because the website terms are later updated.
26. Entire Agreement and Transaction-Specific Terms
These Seller Terms, together with an accepted offer, applicable transaction-specific terms, and any applicable third-party escrow agreement, constitute the agreement governing the applicable acquisition.
If transaction-specific terms expressly conflict with these general Seller Terms, the transaction-specific terms will control with respect to that transaction.
27. Severability
If any provision of these Seller Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
